1. Introduction and Acceptance of Terms
Welcome to Cooperativ, a digital cooperative management platform operated by Codemania Nigeria Limited, a company incorporated under the laws of the Federal Republic of Nigeria. Cooperativ is designed to help cooperative societies across Africa automate savings contributions, manage loans, maintain member records, and ensure regulatory compliance.
By downloading, installing, accessing, or using the Cooperativ mobile application ("App") available on the Google Play Store or the Apple App Store, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you do not agree to these Terms, you must not access or use the App. These Terms constitute a legally binding agreement between you and Codemania Nigeria Limited.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Cooperativ" or "Platform" means the Cooperativ mobile application, web platform, APIs, and all associated services.
- "Codemania" or "Company" means Codemania Nigeria Limited, the developer and operator of Cooperativ.
- "User" means any individual who downloads, registers, or uses the Cooperativ App, including cooperative members, administrators, agents, and regulators.
- "Cooperative" means a registered cooperative society or association that has onboarded its operations onto the Cooperativ platform.
- "Member" means an individual who belongs to a Cooperative and uses the App to access their cooperative account, savings, loans, or records.
- "Admin" means a designated officer or administrator of a Cooperative who manages the cooperative's account, settings, members, and operations on the platform.
- "Services" means all features, tools, and functionalities provided through the App, including but not limited to digital contribution tracking, loan management, member dashboards, and compliance reporting.
- "Content" means any data, text, information, records, or materials uploaded to or generated through the Platform by Users.
3. Eligibility and Registration
3.1 Age Requirement
You must be at least 18 years of age to create an account or use the Cooperativ App. By using the App, you represent and warrant that you meet this age requirement.
3.2 Account Registration
To access the full features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Cooperativ immediately of any unauthorized use of your account. Cooperativ shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
3.4 Cooperative Onboarding
Cooperatives seeking to use the platform must be duly registered entities under applicable Nigerian law or the relevant laws of their jurisdiction. The Admin registering a Cooperative represents and warrants that they have the authority to bind the Cooperative to these Terms.
4. Description of Services
Cooperativ provides a digital infrastructure platform for cooperative societies. The core Services include:
4.1 Digital Contribution Management
The App enables automated tracking and recording of member savings contributions via mobile money, bank transfers, and other supported payment channels. Contribution records are maintained in real time and accessible to members and administrators as permitted by the cooperative's settings.
4.2 Loan Management
Cooperativ facilitates the application, approval, disbursement, and repayment tracking of loans within cooperatives. Loan decisions are made solely by the cooperative's authorized administrators. Cooperativ does not act as a lender or financial institution and does not make credit decisions.
4.3 Member Transparency Dashboards
Members may access personal dashboards showing their account balances, contribution history, loan status, dividend records, and cooperative meeting records. The level of access is configurable by cooperative administrators.
4.4 Compliance and Reporting
The platform generates audit-ready reports for regulatory inspections and compliance filings. Reports are based solely on data entered by cooperative users and administrators. Cooperativ does not guarantee that generated reports will satisfy all regulatory requirements in every jurisdiction.
4.5 Multi-Language Support
The App supports English, Yoruba, Igbo, and Hausa to ensure accessibility across Nigeria and other African markets.
4.6 Offline Functionality
The App includes limited offline functionality to support use in areas with poor internet connectivity. Offline data will be synchronized upon reconnection to the network.
5. User Obligations and Acceptable Use
By using the Cooperativ App, you agree to:
- Provide accurate and truthful information at all times, including during registration and all transactions.
- Use the App only for lawful purposes and in compliance with all applicable Nigerian laws, the laws of your jurisdiction, and these Terms.
- Not misuse the platform to conduct fraudulent activities, money laundering, or any transactions that violate applicable anti-money laundering (AML) or counter-terrorism financing (CTF) laws.
- Not attempt to gain unauthorized access to any part of the platform, other user accounts, or our servers and databases.
- Not upload or transmit any malware, viruses, or malicious code through the App.
- Not reverse-engineer, decompile, or otherwise attempt to extract the source code of the App.
- Not use the App to harass, defame, or harm other users or third parties.
- Cooperate with any know-your-customer (KYC) or identity verification requirements as may be required by Cooperativ or applicable regulations.
Cooperativ reserves the right to suspend or terminate accounts found to be in violation of these obligations, without prior notice, at our sole discretion.
6. Financial Terms and Payment
6.1 Platform Fees
Access to Cooperativ may be subject to subscription fees or transaction-based charges as communicated to cooperative administrators during onboarding or as updated from time to time on our website at www.getcooperativ.com. Fees are exclusive of applicable taxes unless otherwise stated.
6.2 Payment Processing
Payments processed through the platform are facilitated by third-party payment processors. By initiating a transaction, you authorize the processing of such payment. Cooperativ is not responsible for errors or failures attributable to third-party payment providers.
6.3 Refunds
All platform subscription fees are non-refundable except as required by applicable law or at Cooperativ's sole discretion. Transaction-level disputes between cooperative members and their cooperative society are governed by the rules of the respective cooperative, not by Cooperativ.
6.4 Not a Financial Institution
Cooperativ is a technology platform and does not hold, receive, transmit, or lend funds on its own account. Member funds remain within the governance structure of the respective cooperative society. Cooperativ is not a bank, microfinance institution, or regulated financial institution under the Central Bank of Nigeria Act or any equivalent legislation.
7. Data Privacy and Protection
7.1 Privacy Policy
Your use of Cooperativ is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal data in compliance with the Nigeria Data Protection Act 2023 (NDPA) and other applicable data protection laws.
7.2 Data You Provide
You consent to the collection and processing of personal data you provide to us, including name, contact details, bank verification number (BVN) where required for compliance, transaction records, and other cooperative-related data, for the purpose of providing the Services.
7.3 Cooperative Data
Cooperatives retain ownership of their organizational data. By using the platform, cooperatives grant Cooperativ a limited, non-exclusive licence to process and store their data solely to deliver the Services.
7.4 Data Security
Cooperativ employs bank-grade encryption and industry-standard security measures to protect user data. However, no method of digital transmission or storage is 100% secure. We cannot guarantee absolute security of your data and shall not be liable for unauthorized access resulting from factors beyond our reasonable control.
7.5 Third-Party Data Sharing
We do not sell your personal data to third parties. We may share data with regulatory authorities as required by law, with payment processors to facilitate transactions, and with cloud infrastructure providers for platform operation.
8. Intellectual Property
All intellectual property rights in the Cooperativ App, including but not limited to software, code, design, logos, trade marks, text, graphics, and content created by Codemania, are and shall remain the exclusive property of Codemania Nigeria Limited.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App strictly in accordance with these Terms. Nothing in these Terms transfers any ownership of intellectual property rights to you.
User-generated content uploaded to the platform remains your property. By uploading content, you grant Cooperativ a non-exclusive licence to use, store, and process that content solely to provide the Services.
9. Third-Party Services and Links
The App may integrate with or contain links to third-party services, including payment processors, cloud providers, and regulatory portals. Cooperativ does not control and is not responsible for the content, policies, or practices of any third-party services. Your use of such third-party services is at your own risk and subject to their respective terms and policies.
10. Disclaimers and Limitation of Liability
10.1 "As Is" Provision
The App and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2 Service Availability
Cooperativ does not warrant that the App will be uninterrupted, error-free, or free from viruses. We reserve the right to suspend, modify, or discontinue the Services at any time without notice for maintenance, updates, or other operational reasons.
10.3 Limitation of Liability
To the maximum extent permitted by applicable law, Codemania Nigeria Limited, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the App, including but not limited to loss of data, financial loss, or loss of business, even if advised of the possibility of such damages.
10.4 Cooperative Decisions
Cooperativ is a technology tool. All financial decisions made within a cooperative, including loan approvals, contribution rules, and fund disbursements, are the sole responsibility of the cooperative's administrators and members. Cooperativ bears no liability for such decisions.
11. Regulatory Compliance
Cooperativ is designed to support cooperative societies in meeting their regulatory obligations under Nigerian law, including requirements set by the Federal Department of Cooperatives, State Cooperative Registrars, the Special Control Unit Against Money Laundering (SCUML), and the Nigerian Financial Intelligence Unit (NFIU).
However, it is the responsibility of each cooperative society to ensure compliance with all applicable laws and regulations. Cooperativ does not provide legal or compliance advice. We recommend that cooperative societies obtain independent legal and regulatory guidance relevant to their operations.
12. Suspension and Termination
Cooperativ reserves the right to suspend, restrict, or terminate your access to the App at any time and without prior notice if:
- You breach any provision of these Terms.
- We receive a valid order from a court, regulator, or law enforcement authority.
- We reasonably suspect fraudulent, illegal, or harmful activity associated with your account.
- Your cooperative's subscription has lapsed and remains unpaid after a reasonable grace period.
Upon termination, your right to use the App ceases immediately. Cooperativ will retain data in accordance with its data retention policy and applicable legal obligations.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
13.2 Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to mediation under the Lagos Multi-Door Courthouse (LMDC) rules before resorting to litigation.
13.3 Jurisdiction
Any litigation arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
14. Changes to These Terms
Codemania reserves the right to modify these Terms at any time. Material changes will be communicated to users via in-app notification or email at least 14 days before the changes take effect. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.
We encourage you to review these Terms periodically. The most current version will always be available within the App and on our website at www.getcooperativ.com.
15. App Store and Google Play Store Provisions
These Terms are entered into between you and Codemania Nigeria Limited, not with Apple Inc. or Google LLC. Codemania is solely responsible for the App and its content. Apple and Google have no obligation to provide maintenance or support for the App.
To the extent any terms of the Apple App Store or Google Play Store Developer Distribution Agreement conflict with these Terms, the App Store or Play Store terms take precedence solely with respect to matters governed by those agreements.
You acknowledge that Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
